1.2 “Terms and Conditions” – the rules that the User of nucell-novus.com accepts when using the website.

1.3. The Website and the information offered on it operate under the terms and conditions described below.

Use of nucell-novus.com implies unconditional acceptance of and compliance with all of the following terms and conditions.

If the User does not agree with any of the nucell-novus.com terms of use, he/she has the right to refrain from using the online store.

Otherwise – the unconditional acceptance of all terms and conditions is automatically assumed (the User makes an implicit acceptance of the terms described on this page).

2.9. nucell-novus.com reserves the right to make changes to the terms and conditions at any time without any notice to its users and undertakes to always have a link to the most up-to-date “Terms and Conditions” for the use of the platform at the bottom of the nucell-novus.com homepage. In the event that the User continues to use the Platform after a change has been made by us, this certifies that the User agrees to the changes.

2.10. These General Terms and Conditions as well as the relationship between nucell-novus.com and the User shall be subject to the applicable legislation of the Republic of Bulgaria.

6.1 nucell-novus.com is an e-shop, hereinafter referred to as the Provider, available at nucell-novus.com, through which Users have the opportunity to enter into contracts for the purchase and delivery of goods offered by nucell-novus.com, including the following:

  • Register and create an account to view nucell-novus.com and use the additional services to provide information;
  • To enter into contracts for the purchase and delivery of the goods offered by nucell-novus.com;
  • To make any payments in connection with contracts entered into with nucell-novus.com, in accordance with the payment methods supported by nucell-novus.com.
  • To receive information about new products offered by nucell-novus.com;
  • To review the goods, their characteristics, prices and delivery terms;
  • To be informed of the rights arising from the law through the nucell-novus.com interface.

6.2. The Supplier shall deliver the Goods and guarantee the rights of the Users provided for by law, within the framework of good faith, the criteria and conditions accepted in practice, consumer or commercial law.

6.3. Users conclude a contract for the purchase and sale of the goods offered by nucell-novus.com through the interface of the Supplier, available on its website at nucell-novus.com or other means of remote communication.

6.4. The User and the Supplier agree that all statements between them in connection with the conclusion and performance of the Purchase and Sale Agreement may be made electronically and by electronic statements within the meaning of the Electronic Document and Electronic Signature Act and Article 11 of the Electronic Commerce Act.

6.5. The Supplier shall deliver and hand over the goods to the User within the period specified at the conclusion of the contract. If the term is not expressly agreed between the parties at the conclusion of the contract, the Supplier shall deliver and hand over the goods within a reasonable time, but not later than 2 months.

6.6. The User must inspect the goods at the time of delivery and handover by the courier company and if it does not meet the requirements to notify the Supplier immediately. If the Consumer does not claim, the delivery shall be deemed accepted and approved.

6.7. When registering, the User undertakes to provide correct and up-to-date data. The User shall promptly update the data provided in his registration in case of change.

7. SPECIAL OBLIGATIONS OF THE SUPPLIER

7.1. The rules of this section of these General Terms and Conditions shall apply to Users who, according to the data provided for the conclusion of the purchase contract or upon registration at nucell-novus.com, may be inferred to be consumers within the meaning of the Consumer Protection Act, the Electronic Commerce Act and/or Directive 97/7/EC of the European Parliament and of the Council of 20 May 1997 on the protection of consumers in respect of distance contracts.

The main characteristics of the goods offered by the Supplier are defined in the profile of each product on the nucell-novus.com website:

carrying out specialised out-of-hospital care, diagnosis, treatment and rehabilitation of patients; consultations and prophylaxis ; carrying out medical activities and manipulations, as well as commercial transactions for the needs of the medical activities carried out and for the service of patients, not prohibited by the Medical Institutions Act, in compliance with all applicable licensing, registration, permit and coordination regimes or other legal requirements.

8. AMENDMENTS TO THE TERMS AND CONDITIONS AND THEIR TERMINATION

8.1. These General Terms and Conditions may be amended by MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS LTD, for which the latter will notify in an appropriate manner all Users of the nucell-novus.com platform who have registered.

MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS Ltd. and the User agree that any amendment and modification of these General Terms and Conditions will be effective against the User after its express notification by MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS Ltd. and if the User does not declare within the 14-day period provided that he rejects them.

The User agrees that all statements of the MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS LTD, in connection with the amendment of these General Terms and Conditions will be sent to the e-mail address specified by the User upon registration.

The User agrees that e-mails sent under this Article need not be signed with an electronic signature to be effective against him.

8.2. NOVA CELL MEDICAL CENTER FOR BIOPHYSICS – NOVA CELL OOD publishes these General Terms and Conditions at nucell-novus.com, together with all amendments and modifications thereto.

8.3. These General Terms and Conditions and the User’s contract with the MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS LTD shall be terminated in the following cases:

  • in the event of dissolution and liquidation or bankruptcy of one of the parties to the contract;
  • by mutual agreement of the parties in writing;
  • unilaterally, by notice from either party in the event of failure of the other party to perform its obligations;
  • in the event of objective impossibility of either party to the contract to perform its obligations;
  • in case of seizure or sealing of the equipment by government authorities;

MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS Ltd. has the right, without prior notice and without due compensation, to unilaterally terminate the contract if it finds that the User uses nucell-novus.com in violation of these Terms and Conditions, the legislation of the Republic of Bulgaria, generally accepted social, moral and moral norms, as well as in violation of generally accepted rules in e-commerce.

8.4. The User undertakes to indemnify the MEDICAL CENTRE FOR BIOPHYSICS NOVA CELL – NOVUS LTD against all legal claims and other claims of third parties (whether or not justified) arising out of or in connection with:

  • failure to perform any of the obligations of this contract;
  • Infringement of copyright, broadcasting rights or other intellectual or industrial property rights;
  • unlawful transfer to others of the rights granted to the User for the term and under the terms of the contract;

MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS Ltd. is not responsible in cases of force majeure, unforeseen events, problems with Internet access, technical or other objective reasons.

MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS Ltd. is not responsible for a breach in the security measures of the technical equipment of the nucell-novus.com site, for possible subsequent loss of information, access to information, etc.

MEDICAL CENTER FOR BIOPHYSICS NOVA CELL – NOVUS Ltd. is not liable to the User for any unauthorized change of the Primary Contact Email Address.

9. ADDITIONAL CONDITIONS

9.1. The invalidity of any provision of these terms and conditions shall not invalidate all of them.

9.2. nucell-novus.com reserves the right to contact the User for the purpose of inquiry/survey/survey. These may be conducted either online or over the phone or in physical form of any nature.

9.3. These Terms shall come into force for all Users of nucell-novus.com on 10.02.2025.
